3 Financial Risk Disclaimer
You acknowledge and agree that:

- You should thoroughly test all systems in a simulated or paper trading environment before deploying with live capital.
4 Project Agreements & Payments
Each project undertaken by Elite-Algorithms is governed by a separate written agreement (proposal or contract) that outlines the scope of work, deliverables, timeline, payment terms, and any other project-specific terms.
- Projects typically require a deposit before work commences, with the balance due upon delivery as specified in the project agreement.
- All fees are non-refundable unless otherwise stated in the project agreement.
- Elite-Algorithms reserves the right to pause or terminate work if payments are not received according to the agreed schedule.
- Any changes to project scope after work has commenced may result in additional fees and timeline adjustments.
5 Intellectual Property & Ownership
Upon receipt of full and final payment for a project, the client receives full ownership of all custom source code and documentation developed specifically for that project.
- Elite-Algorithms retains ownership of any proprietary frameworks, libraries, tools, or methodologies used in the development process that are not custom-developed for the specific project.
- Open-source components used in development remain subject to their respective licenses.
- The client grants Elite-Algorithms the right to reference the general nature of the engagement (without disclosing proprietary strategy details) for business development purposes, unless otherwise agreed in writing.
6 Confidentiality
Elite-Algorithms treats all client information, trading strategies, and business details as strictly confidential. A Non-Disclosure Agreement (NDA) is signed before any project begins.
We will not disclose, share, copy, replicate, or otherwise make available your proprietary trading strategies, algorithms, or business information to any third party without your express written consent.
7 Limitation of Liability
To the maximum extent permitted by applicable law, Elite-Algorithms shall not be liable for any:
- Financial losses arising from the use or malfunction of any software we develop.
- Indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, data, or business opportunities.
- Losses arising from exchange API changes, platform updates, or third-party service outages.
- Losses resulting from your failure to properly test, configure, or monitor deployed systems.
Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific project giving rise to the claim.
8 No Warranty
Our services are provided "as is" and "as available." Elite-Algorithms makes no warranties, express or implied, including but not limited to:
- Warranties of merchantability or fitness for a particular purpose.
- Warranties that software will be error-free, uninterrupted, or free from bugs.
- Warranties regarding the performance or profitability of any trading strategy.
We commit to delivering quality work and providing bug fixes for issues arising from our code during the agreed support period, but we cannot guarantee performance outcomes in live market conditions.
9 Client Responsibilities
By engaging our services, you agree to:
- Provide accurate, complete, and timely information required for project development.
- Review deliverables and provide feedback within agreed timeframes.
- Ensure you have the legal right to trade on any platforms and markets for which we develop software.
- Comply with all applicable laws, regulations, and platform terms of service in your jurisdiction.
- Take full responsibility for testing and risk management before deploying any system with live funds.
10 Prohibited Uses
You may not use our website or services to:
- Engage in any unlawful activity or violate any applicable laws or regulations.
